Terms of Service

Welcome to Proxima ("Platform", "we", "us", or "our"), operated by Proxima Technologies, with principal operations in the Philippines. By accessing or using proxima.com.ph, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

These Terms govern your use of the Platform as either a Customer (a person seeking local services) or a Service Provider (an individual or business offering services). Both roles are collectively referred to as "Users."

1. Nature of the Platform

Proxima is a marketplace platform that connects Customers with independent Service Providers. Proxima does not directly employ, supervise, or control Service Providers. Service Providers are independent contractors, not employees, agents, or partners of Proxima.

Proxima does not guarantee the quality, safety, legality, or accuracy of services listed on the Platform, nor the truth or accuracy of any Provider's credentials, certifications, or claims.

2. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age or the legal age of majority in your jurisdiction;
  • Have the legal capacity to enter into binding contracts;
  • Not be prohibited from using the Platform under applicable Philippine law or other applicable laws;
  • Provide accurate, current, and complete information during registration.

By registering, you represent and warrant that all information you provide is truthful, accurate, and complete, and that you will maintain the accuracy of such information.

3. Account Registration and Security

You must register an account to access most features of the Platform. You are responsible for:

  • Maintaining the confidentiality of your login credentials;
  • All activities that occur under your account;
  • Notifying us immediately at [email protected] of any unauthorized use of your account.

You may not share your account with others or create multiple accounts. Proxima reserves the right to suspend or terminate accounts that violate these Terms.

4. Booking and Payment

4.1 Booking Process

Customers may request a booking with a Service Provider through the Platform. A booking is not confirmed until the Provider accepts the request and the Customer pays the Platform Fee.

4.2 Platform Fee

Proxima charges a Platform Fee to Customers to facilitate and secure bookings. This fee is non-refundable except in the circumstances described in Section 5. The Platform Fee is displayed before payment is processed.

4.3 Service Payment

Payment for the actual service rendered is made directly between the Customer and Service Provider, using the payment method agreed upon at booking (e.g., cash, GCash, bank transfer). Proxima is not a party to the service payment transaction.

4.4 Payment Processing

Platform Fee payments are processed securely through PayMongo, a third-party payment processor licensed by the Bangko Sentral ng Pilipinas (BSP). By making a payment, you also agree to PayMongo's terms of service. Proxima does not store your full card or bank account details.

4.5 Payment Window

Once a Provider accepts a booking, the Customer must pay the Platform Fee within 4 hours. Failure to pay within this window will result in automatic cancellation of the booking.

5. Cancellations and Refunds

5.1 Customer Cancellations

Customers may cancel a confirmed booking subject to the Provider's cancellation policy. Refunds of the Platform Fee are issued to the Customer's Proxima Wallet and are subject to the following:

  • If cancelled before the Provider begins service: Platform Fee is refunded to Wallet.
  • If cancelled after service has begun: No refund of the Platform Fee.

5.2 Provider Cancellations

If a Provider cancels a confirmed booking, the Customer will receive a full refund of the Platform Fee to their Proxima Wallet.

5.3 Provider Suspension

If a Provider's account is suspended by Proxima after a booking is confirmed, the Platform Fee will be automatically refunded to the Customer's Proxima Wallet.

5.4 Wallet Funds

Proxima Wallet credits may be used to pay future Platform Fees. Wallet balances are non-transferable and non-cashable except where required by applicable law.

6. Service Provider Obligations

Service Providers agree to:

  • Provide accurate, truthful, and complete information about their services, qualifications, and identity;
  • Hold all licenses, permits, or certifications required by Philippine law to perform the services offered;
  • Perform services in a professional, timely, and workmanlike manner;
  • Maintain appropriate liability insurance where applicable;
  • Not solicit Customers to transact outside the Platform to circumvent fees;
  • Comply with all applicable laws, including but not limited to tax obligations under the National Internal Revenue Code.

Proxima reserves the right to verify Provider credentials and to remove listings at any time without prior notice.

7. Prohibited Conduct

Users must not:

  • Use the Platform for any unlawful purpose or in violation of these Terms;
  • Post false, misleading, or fraudulent information;
  • Harass, threaten, or abuse other Users;
  • Circumvent Proxima's fee structure by arranging transactions off-platform;
  • Attempt to manipulate reviews or ratings;
  • Use automated scripts, bots, or scraping tools on the Platform;
  • Impersonate another person or entity;
  • Upload malicious code or engage in any activity that disrupts the Platform.

Violations may result in immediate suspension or termination of your account and, where applicable, referral to law enforcement authorities.

8. Reviews and Ratings

Users may leave reviews and ratings after a completed booking. Reviews must be honest, accurate, and based on first-hand experience. Proxima reserves the right to remove reviews that violate these Terms or our community guidelines, including reviews that are defamatory, abusive, or fraudulent.

Proxima does not endorse any review and is not responsible for the accuracy of User-submitted content.

9. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, icons, images, and software, is the property of Proxima or its content suppliers and is protected under Philippine intellectual property laws and international treaties.

You are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for its intended purpose. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

10. Disclaimers and Limitation of Liability

10.1 Platform "As Is"

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. Proxima does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or harmful components.

10.2 No Liability for Service Quality

Proxima is not liable for the quality, safety, or outcome of any service performed by a Service Provider. Any disputes regarding the service itself are between the Customer and the Provider.

10.3 Limitation of Liability

To the fullest extent permitted by law, Proxima's total liability to any User for any claim arising out of or related to these Terms or the Platform shall not exceed the amount of Platform Fees paid by the User in the six (6) months preceding the claim.

10.4 Indemnification

You agree to indemnify, defend, and hold harmless Proxima and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of another party.

11. Privacy

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and disclosure of your personal data as described in our Privacy Policy, in compliance with Republic Act No. 10173 (Data Privacy Act of 2012).

12. Termination

Proxima reserves the right to suspend or terminate your account and access to the Platform at any time, with or without cause and without prior notice, including if we reasonably believe you have violated these Terms.

Upon termination, your right to use the Platform ceases immediately. Wallet balances remaining at termination for cause are forfeited. Termination does not limit Proxima's right to pursue other remedies.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines. Any dispute arising from or related to these Terms shall first be submitted to good-faith mediation. If unresolved within thirty (30) days, disputes shall be submitted to the exclusive jurisdiction of the appropriate courts of the Republic of the Philippines.

14. Changes to These Terms

Proxima reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.
